Description of Share Capital

MedcomSoft is a public company whose common shares have been traded since August 1998. The Common Shares of the Company are listed for trading on the Toronto Stock Exchange under the stock symbol “MSF”.

The authorized capital of the Company consists of an unlimited number of Common Shares of which 85,619,112 Common Shares were issued and outstanding as at May 13, 2008.

The Company also has outstanding 3,097,400 Warrants as at May 13, 2008 as follows:

  • 875,000 compensation warrants are exercisable at $0.40 per common share, and expire on September 26, 2008
  • 2,222,400 compensation warrants are exercisable at $0.125 per common share, and expire on February 7, 2010

On a diluted basis, MedcomSoft has 94,669,672 common shares outstanding as at May 13, 2008 assuming the exercise of 3,097,400 outstanding common share purchase warrants and 5,953,160 outstanding stock options.

The holders of Common Shares are entitled to vote at all meetings of shareholders.

The Corporation has not declared any dividends on its shares. The board of directors of the Corporation intends to retain earnings from operations in order to finance the growth and development of the business of the Corporation. Any future determination to pay dividends will be at the discretion of the board of directors of the Corporation and will depend upon the Corporation’s financial condition, results of operations, capital requirements and such other factors as the board of directors of the Corporation deems relevant.
